PURPOSE

The purpose of the company, in France and abroad, is to design and develop any service related to naming and routing, especially on Internet, such as domain names, directories, certificates and certifications, electronic notary services, certification authority services, numeric identities, instant messaging and presence services, current and future communication systems through Internet, telephony based services, and, more generally any commercial, financial, or real estate activity that can be attached to the main purpose of the company, or any related purposes facilitating its development or achievement.

This purpose will be conducted with technical excellence as rule, beyond simple satisfaction of third parties, as well as human and moral respect toward any individual participating actively or depending directly on the project.

Tools created during this project, such as software, procedures, documentation, etc..., will be, as far as possible, available to the pulic, with some licence enabling their broad dissemination and use by third parties, in a reasonnable timeframe after having been created.

In order to better share this project with the interested community at large, the associates will consider as soon as possible depending on structural and financial dispositions notably:

• creation of a non-profit organization for all parties interested by the company’s purpose, to enable a broader dialogue and to offer more ways for third party to participate,
• to start a process toward transforming the legal structure of the company for broader participation, like a SCOP or a SCIC, or, to let the non-profit organization discussed earlier own a non negligible part of company’s capital, or any other way of running more openly.

APPROBATION AND ASSIGNMENT OF RESULTS

A part of all benefit, whose amount can not be less that 1% of the annual sales volume, is granted toward open source projects and community, notably but non exclusively, related to tools used during the course of company’s project. The exact amount, the composition (between money and services) and recipients of this part will be decided yearly during the assembly.

Costs of company services will be evaluated in a three month timeframe after yearly results have been approved so that they are eventually highered in case of too much deficit and obligatorily lowered in case of too large benefit.

During assignment of results, associates will abide by the following order of decreasing priority:

• operation, stability and investment needed to maintain services,
• match between costs and gains,
• transfer to communities related to open source and its philosophy, and solidarity economy,
• personal dividends for associates.
